1. Who these terms are for
These terms are for a venue that switches on card payments in the Guest It portal. They sit alongside our Terms of Service and Privacy Policy, which continue to apply. The governing law and the other general terms in the Terms of Service apply to these terms too.
You accept these terms by ticking "I accept the card payment terms" in the portal. That is what switches card payments on for your venue. "You" and "the venue" mean the business that holds the Guest It account. "We" and "Guest It" mean Guest It LTD.
2. Payment processing
Payment processing services for venues on Guest It are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a venue on Guest It, you agree to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of Guest It enabling payment processing services through Stripe, you agree to provide Guest It accurate and complete information about you and your business, and you authorise Guest It to share it and transaction information related to your use of the payment processing services provided by Stripe.
Stripe's payment method acquirer for the United Kingdom is Stripe Payments UK, Ltd. See Stripe's acquirer disclosure.
When you provide personal data in connection with the payment services, Stripe receives that personal data and processes it in accordance with Stripe's Privacy Policy.
Guest It sets up and looks after your payments account, passes on any notice Stripe sends about it, and is your first point of contact for anything to do with card payments.
3. Verification
Before payouts can start, your business and the person responsible for it must be verified. These are the same checks a bank makes when you open an account: who the business is, who runs it, and where the money goes.
- We may ask for more information later, for example if your takings grow or the rules change. We will give you a deadline.
- If the information is not provided by the deadline, card payments pause until it is.
- If the business changes owner, or its verified tax details change, the new owner must accept these terms again before card payments continue.
4. Our fee
We charge a fee on each card payment at the rates shown in the Guest It portal under EPOS → Card payments. Unless we have agreed different rates with you in writing, the fee is 2% + 10p per card payment, or 3.5% + 10p per card payment on cards issued outside the UK and EEA, as our payment processor defines them.
- The fee is taken off each payment before it pays out to you.
- The fee is not returned when a payment is refunded or disputed.
- We may change the rates with 30 days' notice by email to the address on your account.
5. Payouts
Your card takings settle on your venue's own payments account and pay out to the UK bank account you register in the portal.
- The first payout usually arrives 7 to 14 days after your first card payment. After that, your settled takings are paid out every working day unless you choose weekly or monthly in the portal, under EPOS → Card payments.
- You must keep your bank details correct in the portal. We pay out only to the account registered there.
- If a payout fails, for example because the account has closed, it is retried once the details are right.
6. Refunds, disputes and negative balances
Refunds. Refunds you give come out of your card takings. If your settled takings do not yet cover a refund, the refund may wait until they do.
Disputes. A customer can ask their bank to reverse a payment (a "chargeback"). While the bank decides, the disputed amount is held from your takings. If the bank decides against you, the amount stays deducted. If it decides in your favour, the amount is released back to your takings. Sometimes the bank only asks about a payment first (an "inquiry"): nothing is held and there is no fee for the inquiry itself, but the bank can still turn an inquiry into a chargeback, especially one left unanswered.
Dispute fees. Our payment processor charges fees for chargebacks, and you pay them at cost:
- £20 when a chargeback is raised and the disputed amount is held. You pay this fee whatever the bank decides; it comes out of your card takings.
- £20 more only if you ask us to challenge the chargeback. It is returned to you if the bank decides in your favour.
Collecting what you owe us. You agree that we may take what you owe Guest It under these terms, including any of these fees charged to us, from your card takings, by adding it to our fee on your later card payments until it is paid. Anything not taken that way is payable within 14 days of our request.
Negative balances. If refunds or disputes exceed your takings, your payments balance goes negative. You authorise Guest It, through the payment processor, to debit the shortfall from the bank account registered on your account. If that is not possible, you must pay the shortfall within 14 days of our request.
7. Your responsibilities
- Give us accurate details about your business, and tell us when they change.
- Use card payments lawfully and only for your own business.
- Do not take card payments for goods or services the card schemes prohibit.
- Keep your portal logins secure. Anyone with your venue's login can act for the venue, including changing bank details.
- Tell us at once if a login has been used, or bank details changed, without your authority.
8. Suspension and ending
We, or the payment processor, may pause or stop card payments if we suspect fraud, if amounts you owe are unpaid, if verification fails or is not completed, or if you breach these terms or the Terms of Service. Where we can, we will tell you why and what is needed to resume.
- You can stop taking card payments at any time by contacting us.
- Sums you owe, including negative balances, remain payable after card payments stop.
- Cash and other tenders keep working in the till.
9. Liability
Nothing in these terms limits liability that cannot be limited under law (including for death or personal injury caused by negligence, or for fraud). Subject to that:
- We are not liable for decisions made by a customer's bank, a card scheme or the payment processor, including declined payments, disputes decided against you and holds placed on funds.
- We are not liable for losses caused by misuse of your venue's own login, unless the misuse was caused by our breach of security.
- We are not liable for indirect, incidental, special, or consequential losses.
- To the maximum extent permitted by law, our total liability under these terms is limited to the fees you paid us for card payments in the 12 months before the event giving rise to the claim.
10. Changes and contact
We may update these terms. When we do, the "Last updated" date at the top of this page changes. For material changes we will email you with notice before they take effect. Continuing to take card payments after that date means you accept the updated terms.
